1. Acceptance of these terms

These Terms of Use (the "Terms") govern your access to and use of SOAR — the app at app.trysoar.com, the SOAR mobile apps, our APIs, and related services (together, the "Service"), operated by Soar ("we", "us"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

These Terms are the end-user licence agreement for the SOAR mobile apps. They grant you a personal, non-transferable, non-exclusive licence to use the Service on devices you own or control, for your own non-commercial use, subject to these Terms and the rules of the app store you downloaded from.

2. What SOAR is (and is not)

SOAR operates prediction markets on outcomes related to private companies — most commonly valuation milestones. Positions are event contracts that settle in dollars; they are NOT shares, securities, derivatives on shares, or any ownership interest in the referenced companies.

Soar is not a registered broker-dealer, exchange, or investment adviser. Nothing on the Service is investment, legal, accounting or tax advice, and no content — including prices, charts, AI-generated analysis and other users' posts — should be relied on as a recommendation to transact.

3. Eligibility & accounts

You must be at least 18 years old and legally able to enter into these Terms in your jurisdiction. The Service is not directed to anyone under 18, and we do not knowingly permit minors to hold accounts.

You are responsible for anything that happens under your account and for keeping your sign-in email and devices secure. You may not sell, rent or transfer your account, share it with anyone else, or create a new account to evade a suspension or a block placed by another user.

4. Trading rules & risk

All trading involves risk. Prices move with supply and demand and can gap sharply; private-company outcomes are inherently uncertain and illiquid. You can lose the entire amount you commit to a position. Only trade with funds you can afford to lose.

Orders route to a matching engine and, once matched, are binding. We may halt, unwind or cancel trades in the event of manifest error, market manipulation, or technical failure. Market resolution follows each market's stated criteria; resolution decisions are made in good faith from public information and are final.

5. Deposits & withdrawals

Deposits and withdrawals are processed through third-party payment and blockchain providers. Network and processing fees may apply and are shown before you confirm. We may require identity verification before processing certain transfers, and we may delay or refuse transfers where required by law or where fraud is suspected.

6. Community content & conduct

You own the content you post. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display and distribute it within the Service and in the features that surface it — feeds, search, profiles, shared links and preview cards. You are responsible for everything you post, and you must hold the rights to post it.

Zero tolerance for objectionable content

SOAR has no tolerance for objectionable content or for abusive users. Content that breaks the rules below is removed, and the account responsible may be suspended or permanently terminated — without prior notice, and without refund of any fees paid.

You may not post, upload, transmit, or link to content that:

  • is unlawful, or promotes, facilitates or instructs others in illegal activity
  • harasses, bullies, threatens, stalks or intimidates another person
  • attacks or demeans people on the basis of race, ethnicity, national origin, immigration status, religion, caste, sex, gender, gender identity, sexual orientation, disability, age or serious disease
  • is sexually explicit or pornographic, or sexualises a minor in any way
  • depicts or glorifies graphic violence, terrorism, self-harm, suicide or disordered eating
  • reveals another person's private information — home address, phone number, financial account details, government identifiers — without their consent
  • impersonates another person, a company, or Soar itself, including through a misleading username, avatar or profile
  • is spam, a scam, a phishing attempt, a fake giveaway, or part of coordinated inauthentic activity
  • manipulates or attempts to manipulate a market, including pump-and-dump coordination, knowingly false claims about a company, and fabricated or doctored sources
  • infringes copyright, trademark, trade secret or other intellectual-property rights
  • contains malware, or attempts to probe, overload or compromise the Service or its users

You also may not scrape user content at scale, automate posting without our written permission, or use the Service to circumvent a block another user has placed on you.

7. Reporting, blocking & enforcement

Reporting content

Every post and reply carries a menu with a Report action. Reporting sends the content to our moderation team for review. You can also email hello@trysoar.com with a link to anything you believe breaks these Terms.

Blocking a user

You can block any user from their profile, or from the menu on any of their posts. Blocking takes effect immediately: their posts and replies disappear from your feed and from the lists you see, any follow relationship between you is removed, and they can no longer follow you or reach you on the Service. Blocks are listed in Settings, under Privacy, where you can undo them. Our moderation team is notified whenever a user is blocked.

How we respond

We review every report and every block, and we act on reports of objectionable content promptly. Content that breaks these Terms is removed, and the account responsible is warned, restricted, suspended, or permanently ejected from the Service depending on the severity of the breach and its history. We may act immediately and without notice where content is illegal or presents a risk to other users.

We also apply automated filtering: content that accumulates reports is hidden from the Service pending human review.

Appeals

If you believe we removed content or restricted an account in error, write to hello@trysoar.com and we will review the decision.

8. Intellectual property

The Service — including its design, code, marks and data feeds — is owned by Soar or its licensors. You may not scrape, copy, resell or reverse-engineer the Service except as permitted by law.

If you believe content on the Service infringes your copyright, send a notice to hello@trysoar.com identifying the work, the content at issue, and your contact details. We remove infringing content and terminate repeat infringers.

9. Suspension & termination

We may suspend or terminate your access at any time for a breach of these Terms, for suspected fraud or market manipulation, or where required by law. Where we can do so safely and lawfully, we will tell you why.

You can close your account at any time from Settings, under Delete Account. This schedules your account and the content attached to it for deletion. It does not cancel obligations already incurred — open positions, pending transfers and fees — and we retain records where financial record-keeping law requires it.

10. Disclaimers & liability

The Service is provided "as is" without warranties of any kind. We do not pre-screen user content, and we are not responsible for content posted by other users. To the maximum extent permitted by law, Soar's aggregate liability for any claim arising out of the Service is limited to the greater of $100 or the fees you paid us in the twelve months before the claim.

11. Apple App Store

If you downloaded SOAR from the Apple App Store, these Terms are between you and Soar only — not Apple — and Soar alone is responsible for the app and its content.

Apple has no obligation to provide maintenance or support for the app. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any; to the maximum extent permitted by law, Apple has no other warranty obligation. Apple is not responsible for addressing any claim relating to the app, including product-liability, regulatory and intellectual-property claims. You confirm that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government restricted-parties list. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

12. Changes

We may update these Terms from time to time. Material changes will be announced in-app; continued use after a change takes effect constitutes acceptance. The latest version always lives at this page.
